Please read these Terms of Service ("Terms") carefully before using the SENDIFY LTD platform and website (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you must not use our Service.

1. Definitions

In these Terms, the following definitions apply:

• "SENDIFY LTD", "we", "us", or "our" means SENDIFY LTD, a company registered in England and Wales, with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
• "User", "you", or "your" means any individual or legal entity accessing or using our Service.
• "Platform" means the SENDIFY LTD mobile and web application used to create and manage Meta advertising campaigns.
• "Meta" refers to Meta Platforms, Inc. and its affiliated companies (including Facebook, Instagram, and WhatsApp).
• "Campaign" means any Meta advertising campaign created or managed through our Platform.
• "Content" means any text, images, videos, or other material you submit through the Platform for use in advertising campaigns.

2. Acceptance of Terms

By registering for an account, accessing our website, or using any feature of our Service, you confirm that:

• You are at least 18 years of age
• You have the legal authority to enter into a binding contract
• You are acting on behalf of a legally registered business entity
• All information you provide is accurate, current, and complete
• You have read, understood, and agree to these Terms and our Privacy Policy

3. Description of Service

SENDIFY LTD provides a digital platform that enables legally registered businesses to:

• Create and submit Meta advertising campaigns from a mobile device
• Manage active campaigns, including budget adjustments and creative changes
• Monitor campaign performance through analytics dashboards
• Receive compliance guidance to ensure adherence to Meta's advertising policies

Our Service acts as an interface between your business and Meta's advertising systems. SENDIFY LTD does not control Meta's advertising policies, approval processes, or platform decisions. We cannot guarantee that campaigns submitted through our Platform will be approved by Meta.

4. Account Registration and Security

To use our Platform, you must create an account. You agree to:

• Provide accurate and complete registration information
• Submit valid business verification documentation when requested
• Keep your account credentials confidential and not share them with others
• Notify us immediately of any unauthorised access to your account at contact@sendifyltd.com
• Accept responsibility for all activity that occurs under your account

SENDIFY LTD reserves the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, in violation of these Terms, or in a manner that could harm Meta, other users, or third parties.

5. Eligibility — Legal Businesses Only

Our Service is exclusively available to legal, registered business entities. The following are strictly prohibited from using our Platform:

• Individuals acting in a personal, non-business capacity
• Unregistered or fraudulent business entities
• Businesses operating in sectors prohibited by Meta's advertising policies
• Businesses that have been previously banned or suspended from Meta's platforms
• Any entity attempting to circumvent Meta's advertising policies or verification processes

6. Compliance with Meta's Advertising Policies

By using our Service, you expressly agree to comply with Meta's Advertising Policies, Community Standards, and Terms of Service at all times. You acknowledge and agree that:

• All Content you submit must comply with Meta's current advertising policies
• You will not create campaigns that are misleading, deceptive, or fraudulent
• You will not advertise prohibited products or services as defined by Meta's policies
• You will not use our Platform to circumvent Meta's ad review processes
• You will not target audiences in ways prohibited by Meta's policies (including discriminatory targeting)
• You accept full responsibility for the content of your campaigns
• Meta's policies take precedence over any guidance provided by SENDIFY LTD

Our compliance tools are provided as guidance only and do not constitute a guarantee that your campaigns will be approved by Meta. SENDIFY LTD is not liable for campaign rejections or account actions taken by Meta.

7. User Responsibilities

As a user of our Platform, you are solely responsible for:

• All advertising content you create and submit through our Platform
• Ensuring you have all necessary rights, licences, and permissions for any creative content you use
• Maintaining the accuracy and legality of all claims made in your advertisements
• Complying with all applicable laws in the jurisdictions where your ads are displayed, including consumer protection, advertising standards, and data protection laws
• Ensuring that your products or services are lawful in the target markets
• Managing your advertising budget and ensuring sufficient funds for campaign delivery
• Reviewing and staying up to date with Meta's advertising policies

8. Prohibited Uses

You must not use our Service to:

• Advertise illegal products, services, or activities
• Create misleading, deceptive, or fraudulent advertising
• Promote hate speech, discrimination, or violence
• Advertise counterfeit goods or intellectual property infringement
• Collect personal data from consumers without proper consent or lawful basis
• Conduct phishing, malware distribution, or other malicious activities
• Impersonate another company, brand, or individual
• Attempt to access our systems or Meta's systems without authorisation
• Reverse engineer, copy, or create derivative works of our Platform
• Use automated bots or scripts to interact with our Platform without permission
• Circumvent any security or access controls on our Platform
• Share, resell, or sublicense access to our Platform without written authorisation from SENDIFY LTD

9. Billing and Payments

SENDIFY LTD charges a service fee for platform access and use, as detailed in your service agreement or subscription plan. Additionally, advertising spend is billed directly by Meta in accordance with your campaign budget settings.

• All fees are quoted in GBP (£) unless otherwise stated
• Payments are due in advance or as specified in your plan
• Fees are non-refundable except as required by applicable UK consumer or business law
• SENDIFY LTD is not responsible for charges incurred directly with Meta
• We reserve the right to modify pricing with 30 days' written notice

10. Intellectual Property

Our intellectual property: The SENDIFY LTD Platform, including its design, software, algorithms, trademarks, and all associated content created by us, is the exclusive property of SENDIFY LTD and is protected by UK and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Your intellectual property: You retain ownership of all Content you submit through our Platform. By submitting Content, you grant SENDIFY LTD a limited, non-exclusive, royalty-free licence to use that Content solely for the purpose of delivering our Service (e.g., submitting campaigns to Meta on your behalf).

11. Limitation of Liability

To the fullest extent permitted by applicable law:

• SENDIFY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Service
• Our total aggregate liability to you for any claim arising from these Terms or your use of our Service shall not exceed the total fees paid by you to SENDIFY LTD in the 12 months preceding the claim
• We are not liable for decisions made by Meta regarding your advertising account or campaigns, including suspensions, rejections, or policy enforcement
• We are not liable for any loss of revenue, profit, or business resulting from campaign performance

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SENDIFY LTD, its directors, officers, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of our Service
• Your violation of these Terms
• Your violation of Meta's advertising policies or any applicable law
• Any Content you submit through our Platform
• Any third-party claim relating to your advertising campaigns

13. Disclaimers

Our Service is provided on an "as is" and "as available" basis. While we strive to maintain a reliable, high-quality service, we make no warranties, express or implied, regarding:

• The uninterrupted or error-free operation of our Platform
• The accuracy or completeness of campaign performance data
• The approval of any campaign by Meta
• The results or return on investment from your advertising campaigns
• The suitability of our Service for any particular business purpose

14. Termination

Either party may terminate your account or these Terms with 30 days' written notice. SENDIFY LTD may terminate immediately, without notice, if you:

• Breach any provision of these Terms
• Engage in fraudulent or illegal activity
• Violate Meta's advertising policies in a material way
• Fail to pay any fees when due

Upon termination, your right to access the Platform ceases immediately. Sections that by their nature should survive termination (including Sections 10, 11, 12, and 15) shall continue to apply.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing legal proceedings, we encourage you to contact us at contact@sendifyltd.com to attempt to resolve any dispute amicably within 30 days.

16. Changes to These Terms

SENDIFY LTD reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email to registered users and by updating the "Effective date" at the top of this page. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
